These Terms of Service (“Terms”) govern your access to and use of the website located at penciledinc.com (the “Site”), which is operated by Penciled Inc. (“Penciled,” “we,” “us,” or “our”). By accessing or using the Site, you agree to these Terms. If you do not agree, please do not use the Site.

THE SITE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

6. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, PENCILED INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100).

You agree to defend, indemnify, and hold harmless Penciled Inc. and its affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Site or your violation of these Terms.

8. Termination

We may suspend or terminate your access to the Site at any time, with or without notice, for any reason, including if we believe you have violated these Terms. Upon termination, the provisions of these Terms that by their nature should survive will continue to apply.

9. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Site will be resolved exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction in those courts.

10. Changes to These Terms

We may revise these Terms from time to time. The “Last updated” date above indicates when these Terms were last revised. Continued use of the Site after changes are posted constitutes acceptance of the updated Terms.
